Terms of Service

Last updated: 6 September 2026 · Effective: 6 September 2026

These Terms of Service (“Terms”) are a binding agreement between you or the organization you represent (“Customer”, “you”) and Closr (“Closr”, “we”, “us”) governing your access to and use of the closrcall.com website and the Closr AI outbound calling platform (the “Service”). By creating an account or using the Service, you agree to these Terms.

You are responsible for how you call people. Closr is a tool. You decide who to call, what to say, and on what legal basis. You are solely responsible for complying with all telemarketing, calling-consent, do-not-call, call-recording, and privacy laws that apply to your campaigns. See section 5 — it is the most important part of this agreement.

01Acceptance

By registering for, accessing, or using the Service you accept these Terms and our Privacy Policy and Acceptable Use Policy, which are incorporated by reference. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind it. If you do not agree, do not use the Service.

02Definitions

“Campaign” means a set of outbound calls you configure and run. “Contact” means a person or number you call through the Service. “Credits” means the prepaid balance used to pay for usage. “Customer Data” means the contact lists, scripts, recordings, and other content you upload or generate. “Carrier” means the SIP trunk or telephony provider used to connect calls.

03Accounts & eligibility

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your registration details, for keeping your credentials secure, and for all activity under your account. Enable two-factor authentication where offered. Notify us immediately of any unauthorized use. You may not share, resell, or sublicense access except under an authorized reseller arrangement (section 8).

04The Service

The Service lets you configure an AI voice agent to place outbound calls, deliver a script you define, converse with and respond to the called party, capture outcomes, and optionally transfer live calls to a human or record conversations. You may connect your own SIP trunk or carrier. We may update, improve, or change features over time. We do not guarantee that any call will be answered, that any sale will result, or that call quality will be uninterrupted.

05Your compliance responsibility

This section is essential. You acknowledge and agree that:

Closr does not provide legal advice and does not review your campaigns for legal compliance. Any compliance features we provide are aids, not a guarantee of compliance, and do not shift responsibility to us.

06Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which prohibits fraud, harassment, illegal calling, and other misuse. Violation is a material breach of these Terms and may result in immediate suspension.

07Credits, billing & payment

The Service is prepaid. You add Credits to your account and usage (such as call minutes and platform fees) is deducted from your balance. Prices and rates are shown in your account and may change on a prospective basis.

08Resellers

If you are approved as a reseller, you may resell access to clients you introduce at prices you set, subject to a separate wholesale rate we charge you. You are responsible for your clients’ compliance and for your own billing relationship with them, and you remain bound by these Terms for all activity under your account and your clients’ accounts. Reseller earnings, withdrawals, and payout timing are governed by the reseller terms shown in your reseller portal.

09Customer data

As between you and us, you own your Customer Data. You grant us a limited licence to host, process, and transmit it solely to provide and protect the Service and as described in our Privacy Policy, where our role as processor is set out. You represent that you have all rights and permissions needed to upload and use your Customer Data, including the contact information of the people you call.

10Intellectual property

The Service, including its software, models, design, and brand, is owned by Closr and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, reverse-engineer, resell (except as an authorized reseller), or create derivative works from the Service, or remove any proprietary notices.

11Third-party services

The Service integrates with third parties such as telephony carriers, payment processors, and support tools. Your use of those services may be subject to their own terms, and we are not responsible for their acts, omissions, availability, or charges. You are responsible for your relationship with any carrier you connect.

12Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that calls will connect or be answered, that AI outputs will be accurate, or that use of the Service will comply with any law applicable to your campaigns.

13Limitation of liability

To the maximum extent permitted by law, Closr and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service, even if advised of the possibility. Our total aggregate liability for all claims relating to the Service will not exceed the amounts you paid to us for the Service in the three (3) months immediately before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14Indemnification

You agree to defend, indemnify, and hold harmless Closr and its owners, employees, and suppliers from and against any claims, damages, penalties, fines, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your campaigns and the calls you make; (b) your Customer Data; (c) your violation of these Terms, the Acceptable Use Policy, or any law — including telemarketing, consent, do-not-call, and recording laws; or (d) any dispute between you and a Contact or, if you are a reseller, your clients. This obligation survives termination.

15Suspension & termination

We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms or the Acceptable Use Policy, if your use poses a security, fraud, or legal risk, or if required by a carrier or by law. You may stop using the Service and close your account at any time. On termination, your right to use the Service ends; sections that by their nature should survive (including data, IP, disclaimers, liability, indemnity, and governing law) survive.

16Changes to the Terms

We may update these Terms from time to time. When changes are material we will update the “Last updated” date and, where appropriate, notify account holders. Continued use of the Service after an update means you accept the revised Terms.

18Contact

Questions about these Terms can be sent to legal@closrcall.com or through the support option in your account. Legal-entity details: ClosrCall.
